Terms of Service

1. Acceptance of Terms

By creating an account or using Reply.BD ("Service", "Platform"), operated by Tarun Soft Pvt Limited (registered in Bangladesh, 47 West Shewrapara, Mirpur, Dhaka-1216), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify users of material changes. Continued use after changes constitutes acceptance.

2. Description of Service

Reply.BD is a SaaS platform that enables businesses to:

  • Connect their Facebook Pages to an AI-powered chatbot.
  • Automatically reply to customer messages on Facebook Messenger using OpenAI language models.
  • Manage a product catalog used to inform AI responses.
  • View and manage conversation history.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using Reply.BD, you represent that you meet these requirements. The Service is intended for business use only.

4. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to terminate accounts that violate these Terms.

5. Facebook Platform Compliance

You agree to use the Service in compliance with:

You are solely responsible for the content of automated messages sent through the platform and for obtaining any necessary consents from your customers. You may not use the Service to send spam, unsolicited messages, or content that violates Facebook's policies.

6. OpenAI Usage

AI responses are generated via the OpenAI API. You acknowledge that:

  • AI responses may occasionally be inaccurate, incomplete, or inappropriate.
  • You are solely responsible for reviewing AI-generated content and its suitability for your customers.
  • Your use of AI features is also subject to OpenAI's Usage Policies.

7. Acceptable Use

You agree not to use the Service to:

  • Send spam, bulk unsolicited messages, or harass users.
  • Distribute malware, phishing content, or fraudulent information.
  • Violate any applicable law or regulation, including the laws of Bangladesh.
  • Infringe on intellectual property rights of any third party.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Reverse-engineer, scrape, or copy the platform's source code or AI models.
  • Resell or sublicense access to the Service without written permission.

8. Subscription & Billing

  • Certain features require a paid subscription. Plan details, pricing, and limits are described on the pricing page.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Fees are non-refundable except where required by law or explicitly stated in your plan.
  • We reserve the right to change pricing with 30 days' notice.
  • Failure to pay may result in suspension or termination of your account.

9. Data & Privacy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.

10. Conversion Tracking & Analytics

To improve platform performance and provide analytics, Reply.BD may use the Facebook Conversions API (CAPI) to send anonymised, hashed interaction events to Facebook. Specifically:

  • When a customer sends a message to a connected Facebook Page, a Lead event may be recorded.
  • When a customer initiates or completes an order via the bot, an InitiateCheckout or Purchase event may be recorded.
  • Personal identifiers (phone number, name) are hashed using SHA-256 before transmission and are never sent in plain text.
  • Platform users may configure their own Facebook Pixel ID and Conversions API token to send events to their own Facebook ad accounts. They are solely responsible for obtaining appropriate consent from their customers before enabling this feature.

11. Intellectual Property

All platform code, design, trademarks, and content (excluding your data) are owned by Tarun Soft Pvt Limited and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription term.

You retain ownership of all content you upload (product data, system prompts, etc.).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TARUN SOFT PVT LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Tarun Soft Pvt Limited and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our discretion. You may terminate your account at any time from the account settings. Upon termination, your right to use the Service ceases. Sections 9–14 survive termination.

16. Governing Law

These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration or in the courts of Dhaka, Bangladesh.
